| 141 |
4. COMMERCIAL DISTRIBUTION
| 142 |
Commercial distributors of software may accept certain
| 143 | responsibilities with respect to end users, business partners and the
| 144 | like. While this license is intended to facilitate the commercial use of
| 145 | the Program, the Contributor who includes the Program in a commercial
| 146 | product offering should do so in a manner which does not create potential
| 147 | liability for other Contributors. Therefore, if a Contributor includes the
| 148 | Program in a commercial product offering, such Contributor ("Commercial
| 149 | Contributor") hereby agrees to defend and indemnify every other
| 150 | Contributor ("Indemnified Contributor") against any losses, damages and
| 151 | costs (collectively "Losses") arising from claims, lawsuits and other
| 152 | legal actions brought by a third party against the Indemnified Contributor
| 153 | to the extent caused by the acts or omissions of such Commercial
| 154 | Contributor in connection with its distribution of the Program in a
| 155 | commercial product offering. The obligations in this section do not apply
| 156 | to any claims or Losses relating to any actual or alleged intellectual
| 157 | property infringement. In order to qualify, an Indemnified Contributor
| 158 | must: a) promptly notify the Commercial Contributor in writing of such
| 159 | claim, and b) allow the Commercial Contributor to control, and cooperate
| 160 | with the Commercial Contributor in, the defense and any related settlement

| 162 | claim at its own expense.

| 164 |
For example, a Contributor might include the Program in a
| 165 | commercial product offering, Product X. That Contributor is then a

| 167 | performance claims, or offers warranties related to Product X, those
| 168 | performance claims and warranties are such Commercial Contributor's
| 169 | responsibility alone. Under this section, the Commercial Contributor would
| 170 | have to defend claims against the other Contributors related to those
