16 <P><FONT size=2>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF
17 THIS IBM PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR
18 DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS
19 AGREEMENT.</FONT>
20 <P><FONT size=2></FONT>
21 <P><FONT size=2><B>1. DEFINITIONS</B></FONT>
22 <P><FONT size=2>"Contribution" means: </FONT>
23 <UL><FONT size=2>a) in the case of International Business Machines
24 Corporation ("IBM"), the Original Program, and </FONT></UL>
25 <UL><FONT size=2>b) in the case of each Contributor, </FONT></UL>
26 <UL><FONT size=2>i) changes to the Program, and</FONT></UL>
27 <UL><FONT size=2>ii) additions to the Program;</FONT></UL>
28 <UL><FONT size=2>where such changes and/or additions to the Program
29 originate from and are distributed by that particular Contributor.
30 </FONT><FONT size=2>A Contribution 'originates' from a Contributor if it
31 was added to the Program by such Contributor itself or anyone acting on
32 such Contributor's behalf. </FONT><FONT size=2>Contributions do not
33 include additions to the Program which: (i) are separate modules of
34 software distributed in conjunction with the Program under their own
35 license agreement, and (ii) are not derivative works of the
36 Program.</FONT></UL>
37 <P><FONT size=2></FONT>
38 <P><FONT size=2>"Contributor" means IBM and any other entity that
39 distributes the Program.</FONT>
40 <P><FONT size=2></FONT><FONT size=2></FONT>
41 <P><FONT size=2>"Licensed Patents " mean patent claims licensable by a
42 Contributor which are necessarily infringed by the use or sale of its
43 Contribution alone or when combined with the Program. </FONT>
44 <P><FONT size=2></FONT><FONT size=2></FONT>
45 <P><FONT size=2>"Original Program" means the original version of the
46 software accompanying this Agreement as released by IBM, including source
47 code, object code and documentation, if any.</FONT>
48 <P><FONT size=2></FONT>
49 <P><FONT size=2></FONT><FONT size=2>"Program" means the Original Program
50 and Contributions.</FONT>
51 <P><FONT size=2></FONT>
52 <P><FONT size=2>"Recipient" means anyone who receives the Program under
53 this Agreement, including all Contributors.</FONT>
54 <P><FONT size=2><B></B></FONT>
55 <P><FONT size=2><B>2. GRANT OF RIGHTS</B></FONT>
56 <UL><FONT size=2></FONT><FONT size=2>a) </FONT><FONT size=2>Subject to
57 the terms of this Agreement, each Contributor hereby grants</FONT><FONT
58 size=2> Recipient a non-exclusive, worldwide, royalty-free copyright
59 license to<FONT color=#ff0000> </FONT></FONT><FONT size=2>reproduce,
60 prepare derivative works of, publicly display, publicly perform,
61 distribute and sublicense the Contribution of such Contributor, if any,
62 and such derivative works, in source code and object code
63form.</FONT></UL>
64 <UL><FONT size=2></FONT></UL>
65 <UL><FONT size=2></FONT><FONT size=2>b) Subject to the terms of this
66 Agreement, each Contributor hereby grants </FONT><FONT size=2>Recipient
67 a non-exclusive, worldwide,<FONT color=#008000> </FONT></FONT><FONT
68 size=2>royalty-free patent license under Licensed Patents to make, use,
69 sell, offer to sell, import and otherwise transfer the Contribution of
70 such Contributor, if any, in source code and object code form. This
71 patent license shall apply to the combination of the Contribution and
72 the Program if, at the time the Contribution is added by the
73 Contributor, such addition of the Contribution causes such combination
74 to be covered by the Licensed Patents. The patent license shall not
75 apply to any other combinations which include the Contribution. No
76 hardware per se is licensed hereunder. </FONT></UL>
77 <UL><FONT size=2></FONT></UL>
78 <UL><FONT size=2>c) Recipient understands that although each Contributor
79 grants the licenses to its Contributions set forth herein, no assurances
80 are provided by any Contributor that the Program does not infringe the
81 patent or other intellectual property rights of any other entity. Each
82 Contributor disclaims any liability to Recipient for claims brought by
83 any other entity based on infringement of intellectual property rights
84 or otherwise. As a condition to exercising the rights and licenses
85 granted hereunder, each Recipient hereby assumes sole responsibility to
86 secure any other intellectual property rights needed, if any. For
87 example, if a third party patent license is required to allow Recipient
88 to distribute the Program, it is Recipient's responsibility to acquire
89 that license before distributing the Program.</FONT></UL>
90 <UL><FONT size=2></FONT></UL>
91 <UL><FONT size=2>d) Each Contributor represents that to its knowledge it
92 has sufficient copyright rights in its Contribution, if any, to grant
93 the copyright license set forth in this Agreement. </FONT></UL>
94 <UL><FONT size=2></FONT></UL>
95 <P><FONT size=2><B>3. REQUIREMENTS</B></FONT>
96 <P><FONT size=2><B></B>A Contributor may choose to distribute the Program
97 in object code form under its own license agreement, provided that:</FONT>
98
99 <UL><FONT size=2>a) it complies with the terms and conditions of this
100 Agreement; and</FONT></UL>
101 <UL><FONT size=2>b) its license agreement:</FONT></UL>
102 <UL><FONT size=2>i) effectively disclaims on behalf of all Contributors
103 all warranties and conditions, express and implied, including warranties
104 or conditions of title and non-infringement, and implied warranties or
105 conditions of merchantability and fitness for a particular purpose;
106 </FONT></UL>
107 <UL><FONT size=2>ii) effectively excludes on behalf of all Contributors
108 all liability for damages, including direct, indirect, special,
109 incidental and consequential damages, such as lost profits; </FONT></UL>
110 <UL><FONT size=2>iii) states that any provisions which differ from this
111 Agreement are offered by that Contributor alone and not by any other
112 party; and</FONT></UL>
113 <UL><FONT size=2>iv) states that source code for the Program is
114 available from such Contributor, and informs licensees how to obtain it
115 in a reasonable manner on or through a medium customarily used for
116 software exchange.<FONT color=#0000ff> </FONT><FONT
117 color=#ff0000></FONT></FONT></UL>
118 <UL><FONT size=2><FONT color=#ff0000></FONT></FONT><FONT
119 size=2></FONT></UL>
120 <P><FONT size=2>When the Program is made available in source code
121 form:</FONT>
122 <UL><FONT size=2>a) it must be made available under this Agreement; and
123 </FONT></UL>
124 <UL><FONT size=2>b) a copy of this Agreement must be included with each
125 copy of the Program. </FONT></UL>
126 <P><FONT size=2><FONT color=#0000ff></FONT></FONT>
127 <P><FONT size=2><FONT color=#0000ff></FONT></FONT><FONT size=2>Each
128 Contributor must include the following in a conspicuous location in the
129 Program: </FONT>
130 <P><FONT size=2></FONT>
131 <UL><FONT size=2>Copyright ©<FONT color=#ff0000> </FONT><FONT
132 color=green>{date here}</FONT></FONT><FONT size=2>, International
133 Business Machines Corporation and others. All Rights Reserved.

135 <P><FONT size=2></FONT>
136 <P><FONT size=2>In addition, each Contributor must identify itself as the
137 originator of its Contribution, if any, in a manner that reasonably allows
138 subsequent Recipients to identify the originator of the Contribution.
139 </FONT>
140 <P><FONT size=2></FONT>
141 <P><FONT size=2><B>4. COMMERCIAL DISTRIBUTION</B></FONT>
142 <P><FONT size=2>Commercial distributors of software may accept certain
143 responsibilities with respect to end users, business partners and the
144 like. While this license is intended to facilitate the commercial use of
145 the Program, the Contributor who includes the Program in a commercial
146 product offering should do so in a manner which does not create potential
147 liability for other Contributors. Therefore, if a Contributor includes the
148 Program in a commercial product offering, such Contributor ("Commercial
149 Contributor") hereby agrees to defend and indemnify every other
150 Contributor ("Indemnified Contributor") against any losses, damages and
151 costs (collectively "Losses") arising from claims, lawsuits and other
152 legal actions brought by a third party against the Indemnified Contributor
153 to the extent caused by the acts or omissions of such Commercial
154 Contributor in connection with its distribution of the Program in a
155 commercial product offering. The obligations in this section do not apply
156 to any claims or Losses relating to any actual or alleged intellectual
157 property infringement. In order to qualify, an Indemnified Contributor
158 must: a) promptly notify the Commercial Contributor in writing of such
159 claim, and b) allow the Commercial Contributor to control, and cooperate
160 with the Commercial Contributor in, the defense and any related settlement
161 negotiations. The Indemnified Contributor may participate in any such
162 claim at its own expense.</FONT>
163 <P><FONT size=2></FONT>
164 <P><FONT size=2>For example, a Contributor might include the Program in a
165 commercial product offering, Product X. That Contributor is then a
166 Commercial Contributor. If that Commercial Contributor then makes
167 performance claims, or offers warranties related to Product X, those
168 performance claims and warranties are such Commercial Contributor's
169 responsibility alone. Under this section, the Commercial Contributor would
170 have to defend claims against the other Contributors related to those
171 performance claims and warranties, and if a court requires any other
172 Contributor to pay any damages as a result, the Commercial Contributor
173 must pay those damages.</FONT>
174 <P><FONT size=2><FONT color=#0000ff></FONT></FONT>
175 <P><FONT size=2><FONT color=#0000ff></FONT></FONT><FONT size=2><B>5. NO
176 WARRANTY</B></FONT>
177 <P><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE
178 PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS
179 OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
180 WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR
181 FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is</FONT><FONT size=2>
182 solely responsible for determining the appropriateness of using and
183 distributing </FONT><FONT size=2>the Program</FONT><FONT size=2> and
184 assumes all risks associated with its exercise of rights under this
185 Agreement</FONT><FONT size=2>, including but not limited to the risks and
186 costs of program errors, compliance with applicable laws, damage to or
187 loss of data, </FONT><FONT size=2>programs or equipment, and
188 unavailability or interruption of operations</FONT><FONT size=2>.
189 </FONT><FONT size=2></FONT>
190 <P><FONT size=2></FONT>
191 <P><FONT size=2></FONT><FONT size=2><B>6. DISCLAIMER OF
192 LIABILITY</B></FONT>
193 <P><FONT size=2></FONT><FONT size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS
194 AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY
195 FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL
196 DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON
197 ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT
198 (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
199 DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
200 HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.</FONT>
201 <P><FONT size=2></FONT><FONT size=2></FONT>
202 <P><FONT size=2><B>7. GENERAL</B></FONT>
203 <P><FONT size=2></FONT><FONT size=2>If any provision of this Agreement is
204 invalid or unenforceable under applicable law, it shall not affect the
205 validity or enforceability of the remainder of the terms of this
206 Agreement, and without further action by the parties hereto, such
207 provision shall be reformed to the minimum extent necessary to make such
208 provision valid and enforceable.</FONT>
209 <P><FONT size=2></FONT>
210 <P><FONT size=2>If Recipient institutes patent litigation against a
211 Contributor with respect to a patent applicable to software (including a
212 cross-claim or counterclaim in a lawsuit), then any patent licenses
213 granted by that Contributor to such Recipient under this Agreement shall
214 terminate as of the date such litigation is filed. In addition, If
215 Recipient institutes patent litigation against any entity (including a
216 cross-claim or counterclaim in a lawsuit) alleging that the Program itself
217 (excluding combinations of the Program with other software or hardware)
218 infringes such Recipient's patent(s), then such Recipient's rights granted
219 under Section 2(b) shall terminate as of the date such litigation is
220 filed. </FONT><FONT size=2></FONT>
221 <P><FONT size=2></FONT>
222 <P><FONT size=2>All Recipient's rights under this Agreement shall
223 terminate if it fails to comply with any of the material terms or
224 conditions of this Agreement and does not cure such failure in a
225 reasonable period of time after becoming aware of such noncompliance. If
226 all Recipient's rights under this Agreement terminate, Recipient agrees to
227 cease use and distribution of the Program as soon as reasonably
228 practicable. However, Recipient's obligations under this Agreement and any
229 licenses granted by Recipient relating to the Program shall continue and
230 survive. </FONT><FONT size=2></FONT>
231 <P><FONT size=2></FONT>
232 <P><FONT size=2></FONT><FONT size=2>IBM may publish new versions
233 (including revisions) of this Agreement from time to time. Each new
234 version of the Agreement will be given a distinguishing version number.
235 The Program (including Contributions) may always be distributed subject to
236 the version of the Agreement under which it was received. In addition,
237 after a new version of the Agreement is published, Contributor may elect
238 to distribute the Program (including its Contributions) under the new
239 version. No one other than IBM has the right to modify this
240 Agreement</FONT><FONT size=2>. </FONT><FONT size=2>Except as expressly
241 stated in Sections 2(a) and 2(b) above, Recipient receives no rights or
242 licenses to the intellectual property of any Contributor under this
243 Agreement, whether expressly, </FONT><FONT size=2>by implication, estoppel
244 or otherwise</FONT><FONT size=2>.</FONT><FONT size=2> All rights in the
245 Program not expressly granted under this Agreement are reserved.</FONT>
246 <P><FONT size=2></FONT>
247 <P><FONT size=2>This Agreement is governed by the laws of the State of New
248 York and the intellectual property laws of the United States of America.
249 No party to this Agreement will bring a legal action under this Agreement
250 more than one year after the cause of action arose.</FONT><FONT size=2>
251 Each party waives its rights to a jury trial in any resulting litigation.
252 </FONT></P></FONT></TD></TR></TBODY></TABLE></BODY></HTML>
