| 96 | changes to the Program, and</span></p> |

| 98 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii) |
| 99 | additions to the Program;</span></p> |

| 101 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">where |
| 102 | such changes and/or additions to the Program originate from and are distributed |
| 103 | by that particular Contributor. A Contribution 'originates' from a Contributor |
| 104 | if it was added to the Program by such Contributor itself or anyone acting on |
| 105 | such Contributor's behalf. Contributions do not include additions to the |
| 106 | Program which: (i) are separate modules of software distributed in conjunction |
| 107 | with the Program under their own license agreement, and (ii) are not derivative |
| 108 | works of the Program. </span></p> |
| 109 | |
| 110 | <p><span style="font-size: 10pt;">"Contributor" means any person or |
| 111 | entity that distributes the Program.</span> </p> |
| 112 | |
| 113 | <p><span style="font-size: 10pt;">"Licensed Patents " mean patent |
| 114 | claims licensable by a Contributor which are necessarily infringed by the use |
| 115 | or sale of its Contribution alone or when combined with the Program. </span></p> |
| 116 | |
| 117 | <p><span style="font-size: 10pt;">"Program" means the Contributions |
| 118 | distributed in accordance with this Agreement.</span> </p> |
| 119 | |
| 120 | <p><span style="font-size: 10pt;">"Recipient" means anyone who |
| 121 | receives the Program under this Agreement, including all Contributors.</span> </p> |
| 122 | |
| 123 | <p><b><span style="font-size: 10pt;">2. GRANT OF RIGHTS</span></b> </p> |
| 124 | |
| 125 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) |
| 126 | Subject to the terms of this Agreement, each Contributor hereby grants Recipient |
| 127 | a non-exclusive, worldwide, royalty-free copyright license to<span style="color: red;"> </span>reproduce, prepare derivative works of, publicly |
| 128 | display, publicly perform, distribute and sublicense the Contribution of such |
| 129 | Contributor, if any, and such derivative works, in source code and object code |
| 130 | form.</span></p> |
| 131 | |
| 132 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) |
| 133 | Subject to the terms of this Agreement, each Contributor hereby grants |
| 134 | Recipient a non-exclusive, worldwide,<span style="color: green;"> </span>royalty-free |
| 135 | patent license under Licensed Patents to make, use, sell, offer to sell, import |
| 136 | and otherwise transfer the Contribution of such Contributor, if any, in source |
| 137 | code and object code form. This patent license shall apply to the combination |
| 138 | of the Contribution and the Program if, at the time the Contribution is added |
| 139 | by the Contributor, such addition of the Contribution causes such combination |
| 140 | to be covered by the Licensed Patents. The patent license shall not apply to |
| 141 | any other combinations which include the Contribution. No hardware per se is |
| 142 | licensed hereunder. </span></p> |
| 143 | |
| 144 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">c) |
| 145 | Recipient understands that although each Contributor grants the licenses to its |
| 146 | Contributions set forth herein, no assurances are provided by any Contributor |
| 147 | that the Program does not infringe the patent or other intellectual property |
| 148 | rights of any other entity. Each Contributor disclaims any liability to Recipient |
| 149 | for claims brought by any other entity based on infringement of intellectual |
| 150 | property rights or otherwise. As a condition to exercising the rights and |
| 151 | licenses granted hereunder, each Recipient hereby assumes sole responsibility |
| 152 | to secure any other intellectual property rights needed, if any. For example, |
| 153 | if a third party patent license is required to allow Recipient to distribute |
| 154 | the Program, it is Recipient's responsibility to acquire that license before |
| 155 | distributing the Program.</span></p> |
| 156 | |
| 157 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">d) |
| 158 | Each Contributor represents that to its knowledge it has sufficient copyright |
| 159 | rights in its Contribution, if any, to grant the copyright license set forth in |
| 160 | this Agreement. </span></p> |
| 161 | |
| 162 | <p><b><span style="font-size: 10pt;">3. REQUIREMENTS</span></b> </p> |
| 163 | |
| 164 | <p><span style="font-size: 10pt;">A Contributor may choose to distribute the |
| 165 | Program in object code form under its own license agreement, provided that:</span> |
| 166 | </p> |
| 167 | |
| 168 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) |
| 169 | it complies with the terms and conditions of this Agreement; and</span></p> |
| 170 | |
| 171 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) |
| 172 | its license agreement:</span></p> |
| 173 | |
| 174 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">i) |
| 175 | effectively disclaims on behalf of all Contributors all warranties and |
| 176 | conditions, express and implied, including warranties or conditions of title |
| 177 | and non-infringement, and implied warranties or conditions of merchantability |
| 178 | and fitness for a particular purpose; </span></p> |
| 179 | |
| 180 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii) |
| 181 | effectively excludes on behalf of all Contributors all liability for damages, |
| 182 | including direct, indirect, special, incidental and consequential damages, such |
| 183 | as lost profits; </span></p> |
| 184 | |
| 185 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iii) |
| 186 | states that any provisions which differ from this Agreement are offered by that |
| 187 | Contributor alone and not by any other party; and</span></p> |
| 188 | |
| 189 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iv) |
| 190 | states that source code for the Program is available from such Contributor, and |
| 191 | informs licensees how to obtain it in a reasonable manner on or through a |
| 192 | medium customarily used for software exchange.<span style="color: blue;"> </span></span></p> |
| 193 | |
| 194 | <p><span style="font-size: 10pt;">When the Program is made available in source |
| 195 | code form:</span> </p> |
| 196 | |
| 197 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) |
| 198 | it must be made available under this Agreement; and </span></p> |
| 199 | |
| 200 | <p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) a |
| 201 | copy of this Agreement must be included with each copy of the Program. </span></p> |
| 202 | |
| 203 | <p><span style="font-size: 10pt;">Contributors may not remove or alter any |
| 204 | copyright notices contained within the Program. </span></p> |
| 205 | |
| 206 | <p><span style="font-size: 10pt;">Each Contributor must identify itself as the |
| 207 | originator of its Contribution, if any, in a manner that reasonably allows |
| 208 | subsequent Recipients to identify the originator of the Contribution. </span></p> |
| 209 | |
| 210 | <p><b><span style="font-size: 10pt;">4. COMMERCIAL DISTRIBUTION</span></b> </p> |
| 211 | |
| 212 | <p><span style="font-size: 10pt;">Commercial distributors of software may |
| 213 | accept certain responsibilities with respect to end users, business partners |
| 214 | and the like. While this license is intended to facilitate the commercial use |
| 215 | of the Program, the Contributor who includes the Program in a commercial |
| 216 | product offering should do so in a manner which does not create potential |
| 217 | liability for other Contributors. Therefore, if a Contributor includes the |
| 218 | Program in a commercial product offering, such Contributor ("Commercial |
| 219 | Contributor") hereby agrees to defend and indemnify every other |
| 220 | Contributor ("Indemnified Contributor") against any losses, damages and |
| 221 | costs (collectively "Losses") arising from claims, lawsuits and other |
| 222 | legal actions brought by a third party against the Indemnified Contributor to |
| 223 | the extent caused by the acts or omissions of such Commercial Contributor in |
| 224 | connection with its distribution of the Program in a commercial product |
| 225 | offering. The obligations in this section do not apply to any claims or Losses |
| 226 | relating to any actual or alleged intellectual property infringement. In order |
| 227 | to qualify, an Indemnified Contributor must: a) promptly notify the Commercial |
| 228 | Contributor in writing of such claim, and b) allow the Commercial Contributor |
| 229 | to control, and cooperate with the Commercial Contributor in, the defense and |
| 230 | any related settlement negotiations. The Indemnified Contributor may participate |
| 231 | in any such claim at its own expense.</span> </p> |
| 232 | |
| 233 | <p><span style="font-size: 10pt;">For example, a Contributor might include the |
| 234 | Program in a commercial product offering, Product X. That Contributor is then a |
| 235 | Commercial Contributor. If that Commercial Contributor then makes performance |
| 236 | claims, or offers warranties related to Product X, those performance claims and |
| 237 | warranties are such Commercial Contributor's responsibility alone. Under this |
| 238 | section, the Commercial Contributor would have to defend claims against the |
| 239 | other Contributors related to those performance claims and warranties, and if a |
| 240 | court requires any other Contributor to pay any damages as a result, the |
| 241 | Commercial Contributor must pay those damages.</span> </p> |
| 242 | |
| 243 | <p><b><span style="font-size: 10pt;">5. NO WARRANTY</span></b> </p> |
| 244 | |
| 245 | <p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS |
| 246 | AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT |
| 247 | WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, |
| 248 | WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, |
| 249 | MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely |
| 250 | responsible for determining the appropriateness of using and distributing the |
| 251 | Program and assumes all risks associated with its exercise of rights under this |
| 252 | Agreement , including but not limited to the risks and costs of program errors, |
| 253 | compliance with applicable laws, damage to or loss of data, programs or |
| 254 | equipment, and unavailability or interruption of operations. </span></p> |
| 255 | |
| 256 | <p><b><span style="font-size: 10pt;">6. DISCLAIMER OF LIABILITY</span></b> </p> |
| 257 | |
| 258 | <p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS |
| 259 | AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR |
| 260 | ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES |
| 261 | (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY |
| 262 | OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING |
| 263 | NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF |
| 264 | THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF |
| 265 | THE POSSIBILITY OF SUCH DAMAGES.</span> </p> |

| 267 | <p><b><span style="font-size: 10pt;">7. GENERAL</span></b> </p> |

| 269 | <p><span style="font-size: 10pt;">If any provision of this Agreement is invalid |
| 270 | or unenforceable under applicable law, it shall not affect the validity or |
| 271 | enforceability of the remainder of the terms of this Agreement, and without |
| 272 | further action by the parties hereto, such provision shall be reformed to the |
| 273 | minimum extent necessary to make such provision valid and enforceable.</span> </p> |
| 274 | |
| 275 | <p><span style="font-size: 10pt;">If Recipient institutes patent litigation |
| 276 | against any entity (including a cross-claim or counterclaim in a lawsuit) |
| 277 | alleging that the Program itself (excluding combinations of the Program with |
| 278 | other software or hardware) infringes such Recipient's patent(s), then such |
| 279 | Recipient's rights granted under Section 2(b) shall terminate as of the date |
| 280 | such litigation is filed. </span></p> |
| 281 | |
| 282 | <p><span style="font-size: 10pt;">All Recipient's rights under this Agreement |
| 283 | shall terminate if it fails to comply with any of the material terms or |
| 284 | conditions of this Agreement and does not cure such failure in a reasonable |
| 285 | period of time after becoming aware of such noncompliance. If all Recipient's |
| 286 | rights under this Agreement terminate, Recipient agrees to cease use and |
| 287 | distribution of the Program as soon as reasonably practicable. However, |
| 288 | Recipient's obligations under this Agreement and any licenses granted by |
| 289 | Recipient relating to the Program shall continue and survive. </span></p> |
| 290 | |
| 291 | <p><span style="font-size: 10pt;">Everyone is permitted to copy and distribute |
| 292 | copies of this Agreement, but in order to avoid inconsistency the Agreement is |
| 293 | copyrighted and may only be modified in the following manner. The Agreement |
| 294 | Steward reserves the right to publish new versions (including revisions) of |
| 295 | this Agreement from time to time. No one other than the Agreement Steward has |
| 296 | the right to modify this Agreement. The Eclipse Foundation is the initial |
| 297 | Agreement Steward. The Eclipse Foundation may assign the responsibility to |
| 298 | serve as the Agreement Steward to a suitable separate entity. Each new version |
| 299 | of the Agreement will be given a distinguishing version number. The Program |
| 300 | (including Contributions) may always be distributed subject to the version of |
| 301 | the Agreement under which it was received. In addition, after a new version of |
| 302 | the Agreement is published, Contributor may elect to distribute the Program |
| 303 | (including its Contributions) under the new version. Except as expressly stated |
| 304 | in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to |
| 305 | the intellectual property of any Contributor under this Agreement, whether |
| 306 | expressly, by implication, estoppel or otherwise. All rights in the Program not |
| 307 | expressly granted under this Agreement are reserved.</span> </p> |
| 308 | |
| 309 | <p><span style="font-size: 10pt;">This Agreement is governed by the laws of the |
| 310 | State of New York and the intellectual property laws of the United States of |
| 311 | America. No party to this Agreement will bring a legal action under this |
| 312 | Agreement more than one year after the cause of action arose. Each party waives |
| 313 | its rights to a jury trial in any resulting litigation.</span> </p> |
