23<p><span style='font-size:10.0pt'>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
24THE TERMS OF THIS ECLIPSE PUBLIC LICENSE (&quot;AGREEMENT&quot;). ANY USE,
25REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE
26OF THIS AGREEMENT.</span> </p>

28<p><b><span style='font-size:10.0pt'>1. DEFINITIONS</span></b> </p>

30<p><span style='font-size:10.0pt'>&quot;Contribution&quot; means:</span> </p>

32<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
33in the case of the initial Contributor, the initial code and documentation
34distributed under this Agreement, and<br clear=left>
35b) in the case of each subsequent Contributor:</span></p>

37<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
38changes to the Program, and</span></p>

40<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
41additions to the Program;</span></p>

43<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>where
44such changes and/or additions to the Program originate from and are distributed
45by that particular Contributor. A Contribution 'originates' from a Contributor
46if it was added to the Program by such Contributor itself or anyone acting on
47such Contributor's behalf. Contributions do not include additions to the
48Program which: (i) are separate modules of software distributed in conjunction
49with the Program under their own license agreement, and (ii) are not derivative
50works of the Program. </span></p>

52<p><span style='font-size:10.0pt'>&quot;Contributor&quot; means any person or
53entity that distributes the Program.</span> </p>

55<p><span style='font-size:10.0pt'>&quot;Licensed Patents &quot; mean patent
56claims licensable by a Contributor which are necessarily infringed by the use
57or sale of its Contribution alone or when combined with the Program. </span></p>

59<p><span style='font-size:10.0pt'>&quot;Program&quot; means the Contributions
60distributed in accordance with this Agreement.</span> </p>

62<p><span style='font-size:10.0pt'>&quot;Recipient&quot; means anyone who
63receives the Program under this Agreement, including all Contributors.</span> </p>

65<p><b><span style='font-size:10.0pt'>2. GRANT OF RIGHTS</span></b> </p>

67<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
68Subject to the terms of this Agreement, each Contributor hereby grants Recipient
69a non-exclusive, worldwide, royalty-free copyright license to<span
70style='color:red'> </span>reproduce, prepare derivative works of, publicly
71display, publicly perform, distribute and sublicense the Contribution of such
72Contributor, if any, and such derivative works, in source code and object code
73form.</span></p>

75<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
76Subject to the terms of this Agreement, each Contributor hereby grants
77Recipient a non-exclusive, worldwide,<span style='color:green'> </span>royalty-free
78patent license under Licensed Patents to make, use, sell, offer to sell, import
79and otherwise transfer the Contribution of such Contributor, if any, in source
80code and object code form. This patent license shall apply to the combination
81of the Contribution and the Program if, at the time the Contribution is added
82by the Contributor, such addition of the Contribution causes such combination
83to be covered by the Licensed Patents. The patent license shall not apply to
84any other combinations which include the Contribution. No hardware per se is
85licensed hereunder. </span></p>

87<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>c)
88Recipient understands that although each Contributor grants the licenses to its
89Contributions set forth herein, no assurances are provided by any Contributor
90that the Program does not infringe the patent or other intellectual property
91rights of any other entity. Each Contributor disclaims any liability to Recipient
92for claims brought by any other entity based on infringement of intellectual
93property rights or otherwise. As a condition to exercising the rights and
94licenses granted hereunder, each Recipient hereby assumes sole responsibility
95to secure any other intellectual property rights needed, if any. For example,
96if a third party patent license is required to allow Recipient to distribute
97the Program, it is Recipient's responsibility to acquire that license before
98distributing the Program.</span></p>

100<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>d)
101Each Contributor represents that to its knowledge it has sufficient copyright
102rights in its Contribution, if any, to grant the copyright license set forth in
103this Agreement. </span></p>

105<p><b><span style='font-size:10.0pt'>3. REQUIREMENTS</span></b> </p>

107<p><span style='font-size:10.0pt'>A Contributor may choose to distribute the
108Program in object code form under its own license agreement, provided that:</span>

111<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
112it complies with the terms and conditions of this Agreement; and</span></p>

114<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
115its license agreement:</span></p>

117<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
118effectively disclaims on behalf of all Contributors all warranties and
119conditions, express and implied, including warranties or conditions of title
120and non-infringement, and implied warranties or conditions of merchantability
121and fitness for a particular purpose; </span></p>

123<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
124effectively excludes on behalf of all Contributors all liability for damages,
125including direct, indirect, special, incidental and consequential damages, such
126as lost profits; </span></p>

128<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iii)
129states that any provisions which differ from this Agreement are offered by that
130Contributor alone and not by any other party; and</span></p>

132<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iv)
133states that source code for the Program is available from such Contributor, and
134informs licensees how to obtain it in a reasonable manner on or through a
135medium customarily used for software exchange.<span style='color:blue'> </span></span></p>

137<p><span style='font-size:10.0pt'>When the Program is made available in source
138code form:</span> </p>

140<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
141it must be made available under this Agreement; and </span></p>

143<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) a
144copy of this Agreement must be included with each copy of the Program. </span></p>

146<p><span style='font-size:10.0pt'>Contributors may not remove or alter any
147copyright notices contained within the Program. </span></p>

149<p><span style='font-size:10.0pt'>Each Contributor must identify itself as the
150originator of its Contribution, if any, in a manner that reasonably allows
151subsequent Recipients to identify the originator of the Contribution. </span></p>

153<p><b><span style='font-size:10.0pt'>4. COMMERCIAL DISTRIBUTION</span></b> </p>

155<p><span style='font-size:10.0pt'>Commercial distributors of software may
156accept certain responsibilities with respect to end users, business partners
157and the like. While this license is intended to facilitate the commercial use
158of the Program, the Contributor who includes the Program in a commercial
159product offering should do so in a manner which does not create potential
160liability for other Contributors. Therefore, if a Contributor includes the
161Program in a commercial product offering, such Contributor (&quot;Commercial
162Contributor&quot;) hereby agrees to defend and indemnify every other
163Contributor (&quot;Indemnified Contributor&quot;) against any losses, damages and
164costs (collectively &quot;Losses&quot;) arising from claims, lawsuits and other
165legal actions brought by a third party against the Indemnified Contributor to
166the extent caused by the acts or omissions of such Commercial Contributor in
167connection with its distribution of the Program in a commercial product
168offering. The obligations in this section do not apply to any claims or Losses
169relating to any actual or alleged intellectual property infringement. In order
170to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
171Contributor in writing of such claim, and b) allow the Commercial Contributor
172to control, and cooperate with the Commercial Contributor in, the defense and
173any related settlement negotiations. The Indemnified Contributor may participate
174in any such claim at its own expense.</span> </p>

176<p><span style='font-size:10.0pt'>For example, a Contributor might include the
177Program in a commercial product offering, Product X. That Contributor is then a
178Commercial Contributor. If that Commercial Contributor then makes performance
179claims, or offers warranties related to Product X, those performance claims and
180warranties are such Commercial Contributor's responsibility alone. Under this
181section, the Commercial Contributor would have to defend claims against the
182other Contributors related to those performance claims and warranties, and if a
183court requires any other Contributor to pay any damages as a result, the
184Commercial Contributor must pay those damages.</span> </p>

186<p><b><span style='font-size:10.0pt'>5. NO WARRANTY</span></b> </p>

188<p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
189AGREEMENT, THE PROGRAM IS PROVIDED ON AN &quot;AS IS&quot; BASIS, WITHOUT
190WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
191WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
192MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
193responsible for determining the appropriateness of using and distributing the
194Program and assumes all risks associated with its exercise of rights under this
195Agreement , including but not limited to the risks and costs of program errors,
196compliance with applicable laws, damage to or loss of data, programs or
197equipment, and unavailability or interruption of operations. </span></p>

199<p><b><span style='font-size:10.0pt'>6. DISCLAIMER OF LIABILITY</span></b> </p>

201<p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
202AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
203ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
204(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
205OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
206NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
207THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
208THE POSSIBILITY OF SUCH DAMAGES.</span> </p>

210<p><b><span style='font-size:10.0pt'>7. GENERAL</span></b> </p>

212<p><span style='font-size:10.0pt'>If any provision of this Agreement is invalid
213or unenforceable under applicable law, it shall not affect the validity or
214enforceability of the remainder of the terms of this Agreement, and without
215further action by the parties hereto, such provision shall be reformed to the
216minimum extent necessary to make such provision valid and enforceable.</span> </p>

218<p><span style='font-size:10.0pt'>If Recipient institutes patent litigation
219against any entity (including a cross-claim or counterclaim in a lawsuit)
220alleging that the Program itself (excluding combinations of the Program with
221other software or hardware) infringes such Recipient's patent(s), then such
222Recipient's rights granted under Section 2(b) shall terminate as of the date
223such litigation is filed. </span></p>

225<p><span style='font-size:10.0pt'>All Recipient's rights under this Agreement
226shall terminate if it fails to comply with any of the material terms or
227conditions of this Agreement and does not cure such failure in a reasonable
228period of time after becoming aware of such noncompliance. If all Recipient's
229rights under this Agreement terminate, Recipient agrees to cease use and
230distribution of the Program as soon as reasonably practicable. However,
231Recipient's obligations under this Agreement and any licenses granted by
232Recipient relating to the Program shall continue and survive. </span></p>

234<p><span style='font-size:10.0pt'>Everyone is permitted to copy and distribute
235copies of this Agreement, but in order to avoid inconsistency the Agreement is
236copyrighted and may only be modified in the following manner. The Agreement
237Steward reserves the right to publish new versions (including revisions) of
238this Agreement from time to time. No one other than the Agreement Steward has
239the right to modify this Agreement. The Eclipse Foundation is the initial
240Agreement Steward. The Eclipse Foundation may assign the responsibility to
241serve as the Agreement Steward to a suitable separate entity. Each new version
242of the Agreement will be given a distinguishing version number. The Program
243(including Contributions) may always be distributed subject to the version of
244the Agreement under which it was received. In addition, after a new version of
245the Agreement is published, Contributor may elect to distribute the Program
246(including its Contributions) under the new version. Except as expressly stated
247in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
248the intellectual property of any Contributor under this Agreement, whether
249expressly, by implication, estoppel or otherwise. All rights in the Program not
250expressly granted under this Agreement are reserved.</span> </p>

252<p><span style='font-size:10.0pt'>This Agreement is governed by the laws of the
253State of New York and the intellectual property laws of the United States of
254America. No party to this Agreement will bring a legal action under this
255Agreement more than one year after the cause of action arose. Each party waives
256its rights to a jury trial in any resulting litigation.</span> </p>
